Bylaws of the Eastport Yacht Club, Ltd.

ARTICLE V. MEMBERSHIP

Section 8: Member Numbers

Membership in the Club shall be open to all persons who meet membership criteria. The initiation fees, dues and bar minimums for each membership category shall be as provided in Schedule A.

Section 1: MEMBERSHIP CATEGORIES

A. VOTING MEMBERS

Any person eighteen (18) years of age or over, who is of good character, reputation and qualifications, shall be eligible for Voting Membership.

A Voting Member shall be entitled to full Club rights and privileges, including unlimited use of Club facilities, voting at any meeting scheduled pursuant to the provisions of Article X, holding elective or appointive office and serving as Chair of any committee established pursuant to the provisions of Article IX.

B. NON-RESIDENT MEMBERS

Persons otherwise eligible for Voting Membership, who reside beyond a one hundred (100) nautical mile radius from Eastport Yacht Club and who do not berth their yachts in the Maryland portion of the Chesapeake Bay, shall be eligible to apply for Non-Resident Membership.

Non-Resident Members shall enjoy the rights and privileges of Voting Members, excluding voting and holding elective or appointed office.

Non-Resident Members who, for any consecutive thirty (30) day period, either reside within a one hundred (100) nautical mile radius of Eastport Yacht Club or berth their yachts in the Maryland portion of the Chesapeake Bay shall be responsible and billed for dues and bar minimums at the Voting Member level for that quarter. Non-resident dues will not be assessed for quarter(s) for which the Non-Resident Member is billed at the Voting Member level. If the Non- Resident Member dues have already been paid for the quarter involved, the Non-Resident Member will either be credited or reimbursed for the amount already paid.

Non-Resident Members shall confirm their Non-Resident status for the entire following year by November 15, in accordance with Club rules and procedures as set forth in the EYC Club Policy.

Non-Resident Members who move their residence to within a one hundred (100) nautical mile radius of Eastport Yacht Club or berth their yachts in the Maryland portion of the Chesapeake Bay for more than one hundred eighty (180) consecutive days shall be disqualified from Non-Resident status and shall apply for Voting Membership status pursuant to the membership rules and procedures set forth in the EYC Club Policy. If there is a Voting Member waiting list in place under Section 2 of this Article when a Non-Resident Member applies to change to Voting Member status, then: (a) Non-Resident Members who previously transferred from Voting Membership status and who otherwise meet the qualifications for Voting Membership status may apply to have their status changed back to that of a Voting Member and shall be carried as extra Voting Members until their application is accepted and a vacancy occurs; and (b) Non-Resident Members who have not previously been Voting Members shall have their names placed on the waiting list and have their applications considered in the natural course, and, pending a determination on their application and a vacancy in the Voting Membership, shall be allowed Clubhouse privileges and shall pay dues and bar minimums at the Voting Member level.

C. ASSOCIATE MEMBERS

Any person between the ages of eighteen (18) and thirty-five (35), who is of good character, reputation and qualifications, shall be eligible to apply for Associate Membership. Associate Members shall satisfy the same membership qualifications and application procedures as Voting Members. Associate Members shall enjoy all the rights and privileges of Voting Members excluding voting and holding elective or appointive office.

Prior to reaching age thirty-five (35) Associate Members may, and upon reaching age thirty-five (35) Associate Members shall, apply to fleet up to Voting Membership pursuant to the membership rules and procedures set forth in the EYC Club Policy. If there is a Voting Member waiting list in place under Section 2 of this Article, then Associate Members who have fleeted up shall be carried as extra Voting Members until a vacancy occurs.

D. JUNIOR MEMBERS

Any person under age twenty-one (21), whose character, reputation and qualifications have been vouched for by a Voting Member, shall be eligible for Junior Membership. Junior Members shall not be entitled to vote, hold elective or appointive office, or serve as chair of any committee established by Article IX.

Prior to reaching age twenty-one (21) a Junior Members may, and upon reaching age twenty-one (21) a Junior Member shall, apply to fleet up to another membership category pursuant to the membership rules and procedures set forth in the EYC Club Policy. If there is a Voting Member waiting list in place under Section 2 of this Article, then Junior Members who have fleeted up to Voting Membership shall be carried as extra Voting Members until a vacancy occurs.

E. SPOUSE OF A VOTING, ASSOCIATE, OR SENIOR MEMBER

The legal spouse of any Voting, Associate, or Senior Member shall have all of the rights and privileges of the Member, excluding voting and holding elective office.

The surviving spouse of any Voting, Associate, or Senior Member in good standing shall be eligible to assume the membership of the deceased member pursuant to the membership rules and procedures set forth in the EYC Club Policy.

F. HONORARY MEMBERS

When appropriate, a person can be named an Honorary Member of EYC by either a unanimous vote of the Executive Board, or by a majority vote of the Voting Membership at an annual meeting.

Honorary Members shall have all the rights and privileges of Club membership, excluding voting and holding appointed or elective office.

The term of Honorary Membership shall be specific and designated at the time the vote occurs. Honorary Members shall not be required to pay an initiation fee, dues, bar minimums or other assessments.

G. SENIOR MEMBERS

Any active member may request to transition to Senior status, having reached the age of 65 years, and having at least 25 cumulative years of active Voting Member status at the time of the request. If the request is made during calendar year 2014, the cumulative years shall be 20, and if made during 2015, the cumulative years shall be 22; requests made in 2016 and thereafter shall require 25 years of cumulative Voting Member status.

A Senior Member shall pay 60% of Voting Member dues, shall be exempt from payment of assessments and shall be subject to payment of bar/food minimums. A Senior Member may not vote or hold elective office.

Once Senior Member status has been granted to a Member, it may not again be granted if that Member subsequently transitions to any other Member category. If the Senior Member transitions back to Voting Member, she/he shall pay any assessments that otherwise would have been payable during their status as a Senior Member; and if there is a Voting Member waiting list in place under Section 2 of this Article, she/he shall be carried as an extra Voting Member until a vacancy occurs.

The Senior Member status shall not be transferred except to a surviving spouse; however, such surviving spouse also shall have the option to assume the membership as a Voting Member pursuant to the membership policies and procedures.

No member shall be added to the Club’s membership roll as a Senior Member if that transition would result in the number of Senior Members exceeding 10% of the limit of Voting Members defined in Section 2 of this Article or if there is no Voting Member waiting list in place under Section 2; if there is a waiting list, then the number of Voting Members transitioning to Senior Member shall not exceed the number of persons on that waiting list.

Transitions to Senior Member status may be granted by the Executive Board only one (1) time per year, with the order of transition to be based on Membership number. Requests may only be considered if they were made prior to the calendar in which they are being considered. Requests for Senior Membership status shall be submitted, processed, and reviewed according to the membership rules and procedures set forth in EYC Club Policy.

Section 2: LIMIT OF MEMBERSHIP

There shall be a total of no more than six hundred (600) Voting Members on the membership roll at one time, plus any Non-Resident Member, Associate, Junior, or Senior Members carried as extra Voting Members pursuant to Section 1B,1C,1D, and 1G of this Article. At such time as the membership limit has been reached, the Membership Committee shall establish a waiting list pursuant to the membership rules and procedures set forth in EYC Club Policy.

Section 3: MEMBERSHIP APPLICATION

Persons may apply for membership in one of EYC’s membership categories by submitting an application to the EYC Business Office along with a check for the non-refundable Administration fee. All applications for membership shall include supporting statements from a sponsor and an endorser, both of whom shall have been Voting, Associate, or Senior Members in good standing for at least six (6) months preceding the submittal of the application and who shall remain as such throughout the application process. Should either a sponsor or an endorser not satisfy this requirement at any time during the application process, another member who has been a Voting, Associate, or Senior Member in good standing for the preceding six (6) months may be substituted as the sponsor or endorser by submission of a written statement in support of the applicant. Applications will be received and shall be processed pursuant to the rules and procedures set forth in Section 4 of this Article and the EYC Club Policy, including those rules and procedures for maintaining and administering a waiting list.

Section 4: ACCEPTANCE INTO MEMBERSHIP

Applications for membership shall be posted for member review and shall be reviewed individually by the Membership Committee. Voting and Associate Member applicants shall be interviewed by the Membership Committee.

A quorum, which shall consist of no fewer than four (4) Committee members, shall be required at any meeting during which a determination shall be made on the acceptability of an applicant for Membership.

An applicant shall be accepted for membership upon receiving a majority vote of a quorum of the Membership Committee and receipt of the appropriate Initiation Fees for the application Membership category by the EYC Business Office. If an applicant’s sponsor is a member of the Membership Committee, that member shall count toward the quorum for the meeting, but shall not vote on the application.

Notification shall be sent to applicants concerning acceptance determinations made by the Membership Committee. Rules and procedures for membership acceptance shall be as set forth in the EYC Club Policy.

Section 5: MEMBERSHIP CATEGORY CHANGES

Members may change their membership category with proper notification. Rules and procedures for doing so shall be as set forth in the EYC Club Policy.

Section 6: RESIGNATION AND REAPPLICATION

Members may resign their memberships at any time with proper written notification to the EYC Business Office and payment of outstanding dues for the fiscal year and any other account balances due. If a member has resigned and left in good standing, the member may re-apply for membership. Rules and procedures for resignation and reapplication shall be as set forth in the EYC Club Policy.

Section 7: TRANSFER OF VOTING MEMBERSHIP FROM VOTING MEMBER TO SPOUSE OF VOTING MEMBER

A Voting Member in good standing may request the transfer of his/her membership to his/her legal spouse by submitting a letter of request to the Membership Committee.

Concurrently, the legal spouse shall submit an application pursuant to Section 3 of this Article, and the application will be processed pursuant to Sections 3 and 4 of this Article. No administration or initiation fees will be required. Upon approval of the Membership Committee, the transfer of membership and membership number is immediate and not subject to any waiting list.

Section 8: MEMBER NUMBERS

Member numbers will be issued at the time of acceptance of an application to EYC. The numbers will not be reused and are only transferable when a Voting Member transfers that membership to her/his spouse, or when the spouse of a deceased member takes the membership. If a member drops completely from the rolls of EYC, then at a later date re-applies, that Member will be issued a new number; her/his original number will not be reissued.
