Section 1: STRUCTURE

The Executive Board shall consist of the Club’s elected officers and the most recent Past Commodore who is a Voting Member.


The Executive Board shall serve as the Board of Directors of the Club and shall have all power ordinarily exercised by the board of directors of a corporation.

The Executive Board shall have the power and responsibility to employ and to discharge the Club Manager and to authorize salary changes or additional compensation for the Club Manager and other salaried Club personnel.

The Executive Board shall develop, promulgate and enforce House and Marina Rules to govern the conduct of Club members and guests.

The Executive Board shall develop, promulgate and enforce Club Policies that establish rules and procedures for membership acceptance, billing, use of Club facilities by guests and other issues of concern to the membership.

Any extraordinary action taken by the Board shall first be approved by the Voting Membership at the Annual Membership Meeting or at a Special Membership Meeting called in accordance with Article X Section 2.

On or before February 1 of each year, the Executive Board shall provide the membership an approved annual operating budget for the calendar year.

Additions, deletions, or modifications to Club Policy may be approved and implemented by the Executive Board. Except in emergency circumstances, the Executive Board will notify the members prior to the implementation of any changes to Club Policy. Notification will be made by a posting on the Club bulletin board for a period of thirty (30) days, and by publishing the change in the next available View From the Bridge.


The Executive Board shall hold a Regular Executive Board Meeting each month at the Clubhouse, such meetings to be open to all members. On or before January 2, the Executive Board shall post on the Clubhouse bulletin board the day and time of each Regular Executive Board Meeting scheduled for that year.

The Executive Board may meet in closed executive session when discussing matters deemed to be sensitive in nature.


Special Executive Board Meetings may be called by the Commodore, or may be called for a specified purpose, upon written petition, duly signed, by four members of the Executive Board.

All members of the Executive Board shall be notified at least one (1) day before the meeting. Meeting notification shall state the date, time and place of the meeting, and business to be transacted. No business, other than that stated in the notice, shall be transacted at any Special Executive Board Meeting.

Section 5: QUORUM

The presence of a majority of the members of the Executive Board shall constitute a quorum at all Executive Board Meetings.


The order of business at Executive Board Meetings shall follow that order outlined in Article X Section 8, as it may apply.


If a vacancy occurs among the elected officers on the Executive Board, such vacancy shall be filled in accordance with the procedure set forth in Article VII Section 4.

If a vacancy occurs, for whatever reason, in the position of Past Commodore, former Past Commodores who are Voting Members shall be invited, in sequence, with the most recent being asked first, to fill the unexpired term. If a Past Commodore cannot be found to serve, the term may be filled by election by the Voting Members at a Special Membership Meeting called in accordance with Article X Section 2.


The Club shall indemnify and hold harmless all current and former Executive Board members, Club employees and Club members against and from all claims that arise out of their good faith administration of business for and on behalf of the Club to the extent consistent with, but subject to, the express limitations contained in, the Corporations and Associations Code Annotated of Maryland, Section 2-418 as it may from time to time be amended.
