ARTICLE X. MEMBERSHIP MEETINGS

Section 1: ANNUAL MEMBERSHIP MEETING

The Annual Membership Meeting of the Club shall be held on the second Sunday of November, or as close thereto as possible. At this meeting, there shall be reports of the officers and all committee Chairs or Co-Chairs, the election of officers, and the general transaction of business necessary for the operation of the Club.

Section 2: SPECIAL MEMBERSHIP MEETINGS

Special Membership Meetings may be called at any time, stating the purpose of the call for the meeting, by the Commodore, by the Executive Board, or by written petition to the Keeper of the Log duly signed by ten percent (10%) of the total number of Voting Members. No business other than that stated in the notice shall be transacted at any special Membership Meeting.

Section 3: NOTICE OF MEMBERSHIP MEETING

Notices of all Membership Meetings shall be posted in the Clubhouse and shall be provided electronically or mailed (at Member’s option) to the current address of each Voting Member not less than ten (10) days prior to the meeting date. Such notices shall state the date, time and place of the Membership Meeting and, in the case of Special Membership Meetings, the purpose of such meeting. The notice of the Annual Membership Meeting shall contain the slate of nominees received by the Keeper of the Log in accordance with Article IX Section 3K, and notice of any proposed amendments to these Bylaws.

Section 4: QUORUM

The presence of twenty (20) percent of all Voting Members shall constitute a quorum at all Membership Meetings. If a quorum is not reached within sixty (60) minutes after the time set for the Membership Meeting to begin, the meeting shall be adjourned.

Section 5: PROXIES

No Voting Member shall be entitled to cast a vote unless present in person at the Membership Meeting. However, in the event the Voting Member is unable to attend a Membership Meeting, that Member may temporarily assign their rights to their Spouse or another Voting Member by completing a form specified by the Executive Board. No Voting Member or Spouse may vote more than one proxy.

Section 6: VOTING

Each Voting Member shall be entitled to cast one (1) vote. All voting shall be viva voce unless there is a motion passed requesting a vote by ballot. Election of officers shall be by written ballot if there are more nominations than offices to be filled. A motion shall carry if supported by a majority of the votes cast.

Section 7: ELECTIONS – ALTERNATE NOMINATIONS

Alternate nominations for any elective office may be made by submitting a petition to the Keeper of the Log, signed by ten percent (10%) of the total number of Voting Members. The petitions shall state the name of the nominee and nominated position. Due dates for these petitions are October 15 for the Annual Meeting elections or in the case of a Special Membership Meeting election, three (3) days before the election.

The Keeper of the Log shall promptly post these petitions on the Club bulletin Board, and submit a list of all nominees to the Communications Committee. The complete list of nominees for the Annual Meeting election shall be published in the Club newsletter before the election. Alternate methods of notification may be used In the case of a Special Membership Meeting election.

There shall be no nominations from the floor except in case of an office for which there is no nominee.

Section 8: ORDER OF BUSINESS

The order of business at all meetings, except Special Meetings, shall be as follows:

  1. Call to order (presence of quorum)
  2. Approval of minutes of previous meetings
  3. Letters and other Communications
  4. Reports of Officers
  5. Reports of Committees
  6. Elections
  7. Unfinished business
  8. New business
  9. Adjournment
